Terms of Service-Use

Article 1 (Purpose)

The purpose of these Terms of Use is to define all the rules and regulations between StockWeather, Inc. (hereinafter referred to as “A”), a stock price information distribution company, and the users of this service (hereinafter referred to as “Users”) as defined in Article 2 of these Terms of Use, when they use “quant-box (hereinafter referred to as the “Company”) and the users of the Service (hereinafter referred to as the “Users”) as set forth in Article 2 of these Terms of Use (hereinafter referred to as the “Terms of Use”).

Article 2 (User and Contract Formation)

The User is an individual who has agreed to this Agreement, has applied to the First Party for the use of the Service, and has been approved by the First Party. If the User agrees to the Terms and Conditions, the User shall be deemed to have entered into a contract for the use of the Service with the Company by filling out and submitting the application form designated by the Company.

Article 3 (User Approval and Cancellation of Approval)

The First Party may not approve the use of the Service for any of the following reasons. In addition, even for users who have already been approved to use the Service, A may revoke the approval for any of the following reasons.

  1. In the event that the User’s applicant does not exist.
  2. In the event that any falsehood, error or omission is found in the User’s application for the Service.
  3. In the event that the Company deems that there is an obstacle in approving the application.
  4. In the event that the User delays or refuses to pay the Service fee.
  5. In the event that the Company deems that the User’s conduct falls under any of the prohibited items set forth in Article 7 of the Terms.
  6. In the event that the User interferes with the operation of the Service.
  7. In the event that the user is deemed unsuitable to use the service.
  8. In the event that the user is deemed to be in breach of any of these Terms.

Article 5 (Purpose of Use of Personal Information)

The personal information we collect will only be used for the purpose of administration related to the use of the site (e.g. contracting, answering enquiries, providing information on services, etc.) and will not be used for any other purpose.

It will not be used for any other purpose and will not be passed on to any third party, except in cases where there is a legal obligation to do so.

Article 6 (Use of the Service and ID)

After the Agreement is concluded, Kou shall grant the User a membership number (hereinafter referred to as ID) for use of the Service. The User shall use the Service with the said ID and shall not use the Service by using any other ID. 2.

The User may not transfer, lend, or resell the ID to a third party. 3.

The User shall be responsible for the management and use of the ID granted to him/her, and shall not be liable for any problems arising from the management or use of the ID.

The User shall be responsible for resolving any and all disputes. 4.

In using the Service, the User shall pay the fees stipulated in Article 10 of these Terms of Use during the contract period.

Article 7 (Content of the Service and Changes)

  1. 1. The type and content of the information provided by the Service shall be determined by A.
  2. The information provided in the Service shall be what Kou can provide at the time, and Kou may add, change, partially change or abolish the contents of the Service without prior notice to Users due to unavoidable circumstances. 
  3. The copyright of the information provided in this service belongs to Tokyo Stock Exchange, Inc. and Osaka Securities Exchange, Inc. and each information provider.
  4. Although every effort has been made to ensure the accuracy of the information provided in this service, the accuracy, completeness and usefulness of the information cannot be guaranteed. The Company shall not be liable for any damages incurred based on the Information.

Article 8 (Prohibited Matters)

1. The use of the Service shall be limited to the User’s own use, and the User shall not perform the following acts.

  1. Use the Service for commercial purposes.
  2. To process or reproduce the Service in any way.
  3. Transfer, provide, distribute, sell, pledge, rent or redistribute the Service to any third party in any manner or for any purpose.
  4. To use the Services jointly with any third party or to make the Services available for use by any third party.
  5. To transfer, pledge, or otherwise dispose of its position, rights, or obligations under this Agreement to any third party, whether with or without compensation.

2. The User shall not infringe any rights, including copyrights, ownership rights and intellectual property rights, related to the Service.

In the event that Kou or any of the Information Providers deem that the User’s conduct is contrary to Article 1 or 2 of this Agreement, Kou may suspend the provision of the Service to the User. The Company shall not be liable to the User for any costs or damages incurred by the User due to the discontinuation of the Service.

Article 9 (Disclaimer)

The First Party or the information providers (exchanges, etc.) shall not be liable for any damage incurred by the User due to the following reasons.

  1. Any delay, inability, malfunction, or other failure of the Service caused by the failure of communication equipment, lines, the Internet, or computer systems (software or hardware), or interference by a third party in the use of the Service.
  2. Any delay, inability, malfunction, or other failure of the Service caused by a man-made disaster (fire, power failure, unavoidable accident, etc.), a natural disaster (earthquake, flood, etc.), an emergency (war, riot, revision or abolition of laws and regulations, order by public authority), or any other sudden change in circumstances deemed to be a force majeure.
  3. Any damage caused by errors, delays, interruptions, etc., in the information provided by the Service, which is not caused by the intention or gross negligence of KT.
  4. Any damage caused by the leakage or theft of the user’s ID.
  5. Damages caused by the user’s misunderstanding or lack of understanding of the contents of the service or how to use it.
  6. Damages incurred by the user in accordance with the provisions of Article 4 or Article 12 of this Agreement, or in the event that the user violates the provisions of this Agreement.
  7. In the event that KT requests to discontinue the Service due to unavoidable reasons.
  8. Other reasons beyond the control of the Company.

Article 10 (Interruption of the Service)

The First Party may unavoidably suspend part or all of the Service for any of the following reasons.

  1. In the event of periodic or emergency maintenance, inspection, or construction of the Service facilities.
  2. In the event that the provision of the Service is not possible due to a sudden change in circumstances that is deemed to be a force majeure, such as a man-made or natural disaster or emergency.
  3. In the event that the Service needs to be temporarily suspended for other operational or technical reasons.

Article 11 (Change of Registered Matters)

In the event of any change in the information provided by the User, such as address, telephone, etc., the User shall promptly notify the Company.

Article 12 (About re-enrollment)

Re-enrolled users who have not paid the usage fee in the past shall be charged for the unpaid amount.

Article 13 (Regarding stock price information)

The User shall cooperate with each information provider (mainly stock exchange) when the User receives confirmation or investigation from each information provider regarding the usage of stock price information. In addition, the user agrees to report the user’s name, address and other information to the information provider as part of this process.

Article 14 (Compensation for Damages)

In the event that the User violates these Terms and Conditions and causes damage to the Company, the Company shall be entitled to claim reasonable compensation from the User.

Article 15 (Governing Law and Consent Jurisdiction)

This Agreement shall be governed by and construed in accordance with the laws of Japan. This Agreement shall be governed by and construed in accordance with the laws of Japan, and in the event of any legal action between the User and the Company, the court having jurisdiction over the location of the Company shall have jurisdiction.

Article 16 (Others)

  1. If there is any doubt about the Terms and Conditions, or if there is any matter not stipulated in the Terms and Conditions, it shall be decided after consultation between the First Party and the User. 
  2. This Agreement is subject to change in accordance with changes in laws and regulations, instructions from regulatory authorities, or as otherwise deemed necessary by KT. 
  3. The Service is provided for the purpose of providing stock-related information and is not responsible for the actual investment results of users. Please use this service with the understanding that investment should be made at your own discretion.
